Department Overview

The Corporate Secretary’s Office (CSO) provides support and advice to the Boards of Directors of PG&E Corporation and Pacific Gas and Electric Company (Utility) (together, PG&E), Board committees, and senior management on matters related to corporate governance, and provides corporate compliance, reporting, and shareholder services for the companies.

Position Summary

Administers and supports activities related to PG&E’s Shareholder Services program, subsidiary management, proxy processing, and annual shareholders meetings. The successful candidate will have experience in program reporting and metrics and ability to effectively collaborate and problem solve within cross-functional teams. The Corporate Governance Operations Analyst must be able to communicate clearly, concisely, and effectively and will have an opportunity to interact with senior officers and PG&E shareholders. The candidate must have excellent analytical and organizational abilities, with an emphasis on setting priorities, time management, and attention to detail.  

This position is hybrid, working from your remote office and your assigned work location based on business need. 

PG&E is providing the salary range that the company in good faith believes it might pay for this position at the time of the job posting. This compensation range is specific to the locality of the job. The actual salary paid to an individual will be based on multiple factors, including, but not limited to, specific skills, education, licenses or certifications, experience, market value, geographic location, and internal equity. 

A reasonable salary range is:

Bay Area Minimum: $82,000
Bay Area Maximum: $124,000

Job Responsibilities

•    Develops and distributes reports for various CSO’s programs and coordinates with multiple PG&E departments in support of corporate governance, corporate compliance, and shareholder services requirements.
•    Acts as primary liaison and point of contact with the transfer agent in order to monitor, track and support shareholder activities; reconciles and processes issuances/cancellations under common stock plans, and ensures that all amounts are accurate with each program/plan activity and that instructions are timely sent to the transfer agent; and provides support for the disbursement of dividends. 
•    Supports shareholder services inquiries and coordinates with the transfer agent regarding complex responses and support for shareholders.
•    Maintains the subsidiary entity management database. 
•    Compiles information for response to various data requests and reports to the Federal Energy Regulatory Commission (FERC), the Securities and Exchange Commission (SEC), California Public Utilities Commission (CPUC) and other regulatory bodies. 
•    Supports the preparation of the Proxy Statement file in Workiva and related activities, including the planning and distribution of data verification certifications and filing with the SEC.
•    Supports the planning for the annual shareholders meeting, including materials preparation, distribution, printing, and ordering.
•    Supports the CSO’s benchmarking efforts with data analysis and reporting, and the department’s reporting and visual management.
•    Documents programs and processes, including process maps, procedures, and job aids, to support CSO’s standard work efforts.
•    Supports contracts management for external vendors engaged by the CSO.
•    Performs other duties and tasks as assigned by the Assistant Corporate Secretary and Director, Corporate Governance Operations and/or other department leadership.


•    Bachelor’s (BA/BS) degree or equivalent experience
•    Three (3) years of experience in reporting, data management, visual management, corporate compliance, legal, regulatory, or related fields

•    Experience in program reporting, metrics, and visual management
•    Experience with compliance reporting and filings related to federal, state, and local legal and regulatory requirements
•    Experience with entering and maintaining quality information online on webpages and sites
•    Ability to effectively support and cohesively collaborate within cross-functional teams
•    Planning, prioritization, time management, multi-tasking, and deadline-oriented skills
•    Proficiency with Microsoft Office applications, with focus on MS Excel, PowerPoint, and Visio
•    Proficiency with specialized applications, databases, and information systems (e.g., SharePoint, SAP, Workiva, Boardvantage, CSC, etc.)
