Department Overview

The Law Department provides timely, efficient and business-focused legal services to the company.  The Law Department’s substantive legal activities fall in four categories: Litigation, Regulatory, Commercial, and Corporate and Finance.  The Corporate and Finance team provides governance, external reporting, compliance, and transactional support to clients across a broad spectrum of matters.

Position Summary

The Law department is seeking a mid-level Corporate and Finance teammate to support corporate and Board governance, executive compensation and benefits, compliance with SEC reporting requirements and NYSE and NYSE Amex exchange listing standards, finance transactions, and related regulatory compliance matters.  This position will report to the Managing Counsel for Corporate and Finance and will be responsible for providing legal advice and representation to the Corporate Secretary’s Office and to the Human Resources, Finance, Investor Relations and Accounting teams in connection with matters before the U.S. Securities and Exchange Commission, New York and American Stock Exchanges, U.S. Department of Labor, California Public Utilities Commission and other state, federal and self-regulatory agencies.

The attorney will join a diverse, supportive, inclusive, and highly engaged Corporate and Finance practice group that actively interfaces with the executive officer team, the Boards of Directors, internal clients, outside counsel, investors and counterparties.  This intellectually curious, nimble team member who has experience managing moderate to complex legal matters and who desires to develop a well-rounded and robust corporate transactional practice will grow professionally with the support and mentoring of attorneys and other professionals as they address cutting-edge legal issues in nationally visible work.

Job Responsibilities

•    Provide general governance and corporate support, including responsibility for Board and company governance requirements and processes, general review of Board materials, advice regarding corporate law and stock exchange requirements, and legal support to the Corporate Secretary’s Office.
•    Support Human Resources department in development and administration of executive compensation strategy and related executive and employee benefit programs; prepare governance and disclosure documents; serve as lead attorney for Board’s People and Compensation Committee.
•    Support activities relating to the annual shareholder meeting, including annual meeting, annual shareholder report, and proxy statement.
•    Support complex transactions by providing legal research, advice and strategy on corporate governance and executive compensation and benefits matters with guidance as needed.
•    Draft legal and governance documents, including complex memoranda, internal guidance documents, and regulatory compliance filings. 
•    Support the 1934 Securities Exchange Act disclosure work.
•    Assist with finance transactions including debt and equity securities offerings, securitizations, and bank loan agreements.
•    Manage and coordinate outside counsel handling specific proceedings or issues.
•    Assist with outside counsel's integration into a broader legal team.

Qualifications

Minimum:
• Bachelor’s Degree or equivalent experience
•J.D. from an accredited law school
•Experience as Attorney, 3 years
•6 years of experience, which may include other industry experience relevant to the position 
•Law Bar Admission, US

Desired:
•Experience advising clients in the energy industry.
•Licensed to practice law in California (or Registered In-House Counsel). 
•Capable of working independently and as a team member.
•Experience directly advising clients and ability to provide a high level of client service.
•Ability to set priorities and to respond to changing demands from multiple internal and external sources.
•Excellent communication skills (verbal and written).

•California corporate law
